VALYGO Wallet Terms of Use

01 About these terms

1.1 These Terms of Use ("Terms") are a legal agreement between you and VALYGO Limited, licence no. MC14109, Smart Station, First Floor, Incubator Building, Masdar City, Abu Dhabi, United Arab Emirates ("VALYGO", "we", "us" or "our"). VALYGO Limited develops and provides the App.

1.2 These Terms cover your use of the VALYGO Wallet mobile and web apps, vyochain.com and any related features we offer (together, the "App"). VYOchain, the blockchain network the App is built around, is operated by our affiliate VALYGO Labs LLC, 27 Paradise, Saint Thomas Parish, Charlestown, Nevis, St. Kitts and Nevis (BRC L24270).

1.3 The App is non-custodial software. It lets you create and manage your own wallets, view balances, sign transactions and connect to VYOchain and other supported blockchain networks. We are not a bank, exchange, broker or custodian, and we never hold your digital assets.

1.4 By downloading, opening or using the App, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the App.

02 Who can use the App

2.1 You must be at least 18 years old, or the age of legal majority where you live if that is higher, and able to enter into a binding contract.

2.2 The App is not offered to, and may not be used by, anyone who is resident in, located in or a citizen of the United States, or who is resident or located in any of the following countries: Afghanistan, Cuba, the Democratic Republic of the Congo, Iran, Iraq, Lebanon, Libya, Myanmar, Nicaragua, North Korea, Somalia, South Sudan and Yemen. We may update this list at any time.

2.3 You also may not use the App if you, or anyone you act for, appear on any sanctions list maintained by the United Nations, the European Union, the United Kingdom, the United States or any other relevant authority.

2.4 You must not use a VPN or any other tool to get around these restrictions. We may block access from any location, device or wallet address that we believe is restricted.

2.5 You are responsible for making sure that your use of the App is legal where you live, including any tax or reporting obligations that apply to you.

03 Your wallet and your keys

3.1 When you create a wallet, the App generates a private key and a recovery phrase on your device. They are stored only on your device, encrypted where your device supports it. We never receive, store or have access to them.

3.2 Because of this, you alone control your wallet and the assets in it. We cannot move, freeze, reverse or recover any asset, transaction or wallet.

3.3 You are solely responsible for:

• writing down your recovery phrase and keeping it somewhere safe and offline;
• never sharing your recovery phrase, private key or PIN with anyone, including anyone who says they work for VALYGO;
• keeping your device secure and up to date.

3.4 If you lose your recovery phrase and your device, or someone else gets hold of your recovery phrase, you may lose your assets for good. We cannot help you get them back.

3.6 Deleting the App or resetting your device removes your keys from it. You will only be able to restore your wallet with your recovery phrase.

04 Transactions and network fees

4.1 Every transaction you send through the App is signed on your device and broadcast to the relevant blockchain network. Once it is confirmed, it is final. It cannot be cancelled or reversed.

4.2 Check every transaction before you confirm it, especially the recipient address, the amount and the network. If you send assets to the wrong address or on the wrong network, they will most likely be lost.

4.3 Blockchain networks charge fees to process transactions. On VYOchain these fees are paid in $VYO, and part of each fee may be burned under the network's rules. You need enough of the right token in your wallet to cover them. Fees are set by the network, not by us, and they are not refundable, even if a transaction fails.

4.4 The App supports VYOchain and other networks we choose to add. We can add or remove supported networks and assets at any time. VYOchain is operated by VALYGO Labs LLC, not by us. We do not run or guarantee VYOchain or any other network, and we are not responsible for delays, forks, outages or congestion on them.

4.5 The balances, prices and transaction history shown in the App come from the blockchain and third-party data sources. They are for information only and may sometimes be delayed or wrong.

05 Third-party services

5.1 The App may give you access to services run by other companies, such as MoonPay for buying and selling crypto with fiat, decentralised apps (dApps), swap providers and block explorers ("Third-Party Services").

5.2 When you use a Third-Party Service, you deal directly with that provider under its own terms and privacy policy. The provider is responsible for its service, including any identity checks (KYC), payment processing, pricing, limits, refunds and customer support.

5.3 We do not control, endorse or guarantee any Third-Party Service. We are not a party to your dealings with the provider, and we are not responsible for any loss caused by it.

5.4 We may receive a referral or affiliate fee from some providers, including a fee added to the price you pay. Where this applies, the total cost will be shown to you before you confirm.

5.5 Connecting your wallet to a dApp or signing a message for it can give that dApp permission to move your assets. Only connect to dApps you trust, and read every approval request before you sign it.

06 Risks you accept

6.1 Digital assets are risky and you could lose everything you put in. By using the App, you confirm you understand and accept these risks, including:

• Price risk: the value of digital assets, including $VYO, can rise or fall sharply and may drop to zero.
• Technology risk: blockchains, smart contracts and wallet software can have bugs, be hacked or stop working.
• Network risk: networks can suffer forks, attacks, congestion or changes to their rules, including changes to fees or token supply.
• Liquidity risk: you may not always be able to sell or exchange an asset when you want to, or at the price you expect.
• Regulatory risk: laws on digital assets are changing and could limit what you can do with them, or where the App is available.

6.2 Nothing in the App is financial, investment, legal or tax advice. Holding $VYO does not give you any share in VALYGO, any right to profits or dividends, or any claim against us. Get independent advice before you make any decision.

07 Things you must not do

7.1 You agree not to use the App to:

• break any law or regulation, including anti-money laundering, counter-terrorist financing and sanctions laws;
• deal in funds or assets that come from crime, fraud or any other illegal activity;
• scam, deceive or harm other people, or impersonate anyone else;
• get around the location and eligibility rules in section 2;
• hack, reverse engineer, overload or interfere with the App or any network it connects to;
• copy, resell or build a competing product from the App without our written permission.

7.2 If we believe you have broken this section, we may block your access to the App and report the matter to the relevant authorities. Because we never hold your keys, this does not affect your control over your assets on the blockchain.

08 Intellectual property

8.1 We and our licensors own the App, including its software, design and content, as well as the VALYGO, VYO and VYOchain names and logos.

8.2 As long as you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable licence to use the App for your own purposes.

8.3 Some parts of the App may use open-source software. Those parts are covered by their own licences, and nothing in these Terms limits your rights under them.

8.4 If you send us feedback or ideas, we may use them freely without paying you or owing you anything.

09 Disclaimers and limits on our liability

9.1 The App is provided "as is" and "as available". To the fullest extent the law allows, we make no promises of any kind, express or implied, including that the App will be error-free, secure, always available or fit for a particular purpose.

9.2 To the fullest extent the law allows, we will not be liable for:

• any loss of digital assets caused by a lost, stolen or exposed recovery phrase or private key, or by your own mistakes;
• any transaction you sign, including one sent to the wrong address or network;
• the failure, delay or change of any blockchain network, including VYOchain;
• any loss caused by a Third-Party Service;
• any indirect or consequential loss, or any loss of profits, revenue, data or goodwill.

9.3 Our total liability to you for all claims relating to the App will not exceed the greater of the fees you paid directly to us in the 12 months before the claim and USD 100.

9.4 Nothing in these Terms limits liability for fraud, or any other liability that cannot be limited by law.

9.5 You agree to cover us and our affiliates, including VALYGO Labs LLC, and our and their directors, staff and partners, against any claims, losses and reasonable legal costs that arise because you broke these Terms or the law.

10 General

10.1 Changes to the App. We may change, suspend or stop any part of the App at any time. If we shut the App down, you can still reach your assets on the blockchain with your recovery phrase through any compatible wallet.

10.2 Changes to these Terms. We may update these Terms from time to time. We will change the "Last updated" date and, for major changes, tell you in the App. If you keep using the App after a change, you accept the new Terms.

10.3 Ending these Terms. You can stop using the App at any time by deleting it. Sections 3, 4, 6, 8, 9 and 10 continue to apply after these Terms end.

10.4 Governing law. These Terms are governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates.

10.5 Disputes. If you have a complaint, please contact us first so we can try to resolve it. If we can't resolve it within 60 days, the courts of Abu Dhabi, United Arab Emirates, will have exclusive jurisdiction.

10.6 Other terms. If any part of these Terms is found to be invalid, the rest remains in force. If we don't enforce a right straight away, we don't give it up. You may not transfer your rights under these Terms, but we may transfer ours to another company in our group or to a buyer of our business.
